1. INTRODUCTION
This Terms and Conditions Agreement (“Agreement”) governs the provision of a complimentary (“free”) entertainment service by Silver Baobab Entertainment, trading under Silver Baobab Holdings (Pty) Ltd (“the Company”), to the applying venue (“the Venue”).
By selecting the acceptance checkbox on the Company’s website, the Venue confirms that it has read, understood, and agrees to be legally bound by this Agreement.
2. FREE EVENT OFFER
The Company agrees to provide one (1) complimentary Bingo, Quiz, or Karaoke event (“the Free Gig”) at the Venue, subject strictly to full compliance with all terms outlined herein.
3. VENUE OBLIGATIONS
The Venue agrees to the following conditions:
3.1 Advance Booking
The Venue must select and confirm a date at least fourteen (14) calendar days in advance of the Free Gig.
3.2 Marketing & Promotion
The Venue must actively promote the Free Gig for the full 14-day period prior to the event by:
Posting daily on Facebook, TikTok, and Instagram
Each post must include unique content and a different image
3.3 Attendance Commitment
The Venue owner, manager, and supervisory staff must each invite a minimum of five (5) attendees who will be present at the event.
3.4 Turnover Disclosure
The Venue must provide accurate and verifiable historical turnover figures for the selected night to establish an average baseline turnover.
4. PERFORMANCE-BASED BOOKING COMMITMENT
4.1 If the turnover on the Free Gig night exceeds fifteen percent (15%) above the Venue’s established average turnover, the Venue agrees to book six (6) additional paid events over the following six (6) weeks.
4.2 These bookings shall be scheduled in good faith and in consultation with the Company.
5. NON-COMPLIANCE
Failure to comply with any of the conditions outlined in Section 3 will result in the Free Gig being reclassified as a paid event and invoiced accordingly at standard rates.
6. CANCELLATION POLICY
6.1 Any cancellation of either a Free Gig or a paid booking within fourteen (14) days prior to the scheduled event will result in a cancellation fee equal to fifty percent (50%) of the applicable booking fee.
7. LOCATION REQUIREMENTS
All paid bookings must take place within:
The Gauteng Province, or
Within a sixty (60) kilometre radius of Centurion, Pretoria
Bookings outside this area are subject to separate negotiation and written agreement.
8. PAYMENT TERMS
8.1 All paid bookings must be paid in full at least three (3) calendar days prior to the scheduled event.
8.2 Failure to make payment within this timeframe will result in:
Automatic cancellation of the booking, and
A fifty percent (50%) cancellation fee becoming immediately payable
9. PRICING
Tuesday to Thursday: R1,800 per event
Friday to Sunday: R2,500 per event
All prices are subject to change at the Company’s discretion, with prior notice.
10. EVENT DURATION
Bingo and Quiz: Approximately 2.5 to 3 hours
Karaoke: Maximum of 4 hours
11. PRESENTER ASSIGNMENT
The Company reserves the right to assign any qualified presenter to the event. The Venue acknowledges that the originally advertised or expected presenter may be substituted at the Company’s discretion.
12. GENERAL TERMS
12.1 This Agreement constitutes the entire agreement between the parties.
12.2 No amendment or variation shall be valid unless in writing and agreed by both parties.
12.3 This Agreement shall be governed by the laws of the Republic of South Africa.
12.4 Any disputes arising shall be subject to the jurisdiction of the appropriate South African courts.
13. ACCEPTANCE
By ticking the acceptance checkbox on the Company’s website, the Venue:
Confirms that it has read and understood this Agreement
Agrees to be legally bound by its terms
Warrants that the person accepting has the authority to bind the Venue
